These Terms of Service (hereinafter referred to as "these Terms") apply to your access to **loyalproxy.com**, registration of a LoyalProxy account, and purchase, access to, or use of the products and services provided by LoyalProxy. LoyalProxy is operated by **Cloudrise Network Limited**. By registering an account, purchasing products, or continuing to use our services, you indicate that you have read, understood, and agreed to comply with these Terms and other applicable rules and policies published by the platform. If you do not agree to these Terms, please do not register, purchase, or continue to use LoyalProxy services. ### I. Scope of Services LoyalProxy provides global network resources and related technical services to enterprises, developers, and professional users, including but not limited to: * Dynamic residential proxies; * Static residential proxies; * APIs and related technical interfaces; * Network resources and line services; * Enterprise customization and other related services. The resource scope, validity period, traffic, bandwidth, concurrency, connection methods, and other specific rules of different products shall be subject to the product page, order information, or otherwise separately agreed upon by both parties. We may reasonably adjust some nodes, lines, regional coverage, or service capabilities based on network resources, suppliers, technical architecture, and business operations. ### II. Regional Restrictions {% hint style="info" %} LoyalProxy's relevant proxy network services are primarily intended for markets and business scenarios outside mainland China. {% endhint %} Unless we expressly state otherwise or the law permits, the relevant services **are not provided to the mainland region of the People's Republic of China**, and LoyalProxy shall not be used to circumvent local network regulation, access restrictions, or to engage in other acts that violate applicable laws and regulations. Users shall not circumvent the regional restrictions set by the platform through technical means, nor resell, supply, or provide in disguised form the relevant services to third parties in restricted regions. Liability arising from users' violation of regional restrictions or applicable laws shall be borne by the relevant users in accordance with the law. ### III. Account Registration and Security Before using some LoyalProxy services, you need to register a platform account. When registering and using an account, you shall: * Provide true, accurate, and lawful registration information; * Have the corresponding legal capacity required to enter into and perform these Terms; * Not impersonate others or use the information of other entities without authorization; * Properly safeguard account passwords, API Keys, access credentials, and other authentication information; * Not create accounts in bulk for malicious purposes or to circumvent platform rules; * Not sell, rent, or otherwise transfer accounts without authorization. If you discover unauthorized login, credential leakage, or other security risks on your account, please contact LoyalProxy promptly. For risks and losses arising from users' failure to properly safeguard accounts, passwords, or API credentials, we will handle them in accordance with applicable law and the specific circumstances of liability. ### IV. Service Usage Rules You shall use LoyalProxy services only for **lawful, legitimate business scenarios for which necessary authorization has been obtained**. Users shall not use LoyalProxy services to carry out or assist in carrying out acts including but not limited to the following: * Network attacks, intrusions, exploitation of vulnerabilities, or unauthorized access to third-party systems; * Malicious scanning, DDoS, botnets, or other activities that disrupt network security; * Ad click fraud, fake traffic, fake registrations, or other fraudulent activities; * Circumventing access controls, security mechanisms, or technical protection measures of third-party websites; * Collecting, purchasing, selling, or disseminating personal information and other protected data without authorization; * Sending spam, phishing messages, malware, or other harmful content; * Engaging in fraud, illegal gambling, money laundering, or other illegal financial activities; * Disseminating content that violates applicable laws and regulations; * Infringing third-party intellectual property rights, privacy rights, or other legitimate rights and interests; * Reselling or providing proxies, network access, or related services for illegal purposes; * Other activities that violate applicable laws and regulations, these Terms, or LoyalProxy platform rules. Even if a certain act is not explicitly listed above, if it clearly involves illegality, fraud, infringement, attacks, or serious abuse of network resources, we may still take necessary measures based on the actual circumstances. ### V. Fair Use and Management of Abnormal Behavior To maintain network quality, platform security, and the normal use of other users, LoyalProxy may establish automated or manual risk control mechanisms. We may conduct security checks for the following situations: * Abnormal requests or connections within a short period of time; * Clearly abnormal API call behavior; * Large numbers of abnormal node or region switches; * Accounts logging in simultaneously in abnormal environments or multiple regions; * Suspected account sharing, credential leakage, or automated abuse; * Abnormal load on the platform, proxy nodes, or third-party networks; * Other behaviors that may affect network security or service stability. If the system detects abnormalities, we may take necessary measures such as identity verification, restriction of some functions, restriction of connections, suspension of services or accounts, depending on the degree of risk. For situations involving urgent security risks, obvious illegal acts, or possible harm to the platform and third parties, we may notify after taking measures. ### VI. Product Purchase and Fees The prices, resource quantities, traffic, usage periods, and other service conditions of different LoyalProxy products shall be subject to the product information and order content displayed at the time of purchase by the user. Users should confirm the products, quantities, regions, periods, and related configurations purchased before submitting an order. Where third-party payment services are involved, the relevant payment process may also be subject to the terms of the corresponding payment service provider. For enterprise customization, bulk procurement, or other special services, both parties may separately agree on prices and service conditions through orders, contracts, or other written means. ### VII. Refunds and Service Adjustments Different LoyalProxy products may have different delivery methods and resource attributes, so refund conditions may vary. Specific refund eligibility, application periods, and processing methods shall be subject to LoyalProxy's then-effective **Refund Policy**, product pages, or separately signed agreements between both parties. If a user clearly violates these Terms, abuses resources, commits fraud, attacks, or engages in other illegal acts, we may restrict or terminate services in accordance with applicable law and relevant policies. For network resources that have actually been consumed, allocated, or used, refund processing shall be carried out in accordance with the corresponding product rules. ### VIII. Privacy and Data Protection We value the security of users' personal information and data. During your registration of an account and use of LoyalProxy services, we may process account information, login records, device and network information, order information, and technical logs necessary for providing services. For the specific scope of collection, processing purposes, storage methods, third-party sharing, and user rights regarding relevant information, please refer to the **Privacy Policy** separately published by LoyalProxy. Using LoyalProxy services indicates that you understand that relevant data processing activities will be carried out in accordance with applicable data protection laws and our Privacy Policy. ### IX. Intellectual Property The LoyalProxy website, brand logos, page designs, software systems, API documentation, technical documentation, and related content provided by us and for which we lawfully enjoy rights are protected by applicable intellectual property laws. Except as permitted by law or with our written authorization, users shall not: * Copy or disseminate protected content without authorization; * Conduct illegal reverse engineering of the platform's core systems; * Imitate the LoyalProxy brand, website, or official identity; * Delete or modify relevant copyright, trademark, or rights notices; * Use our intellectual property to infringe third-party rights or for illegal activities. The relevant rights to content uploaded, submitted, or processed by users themselves shall still be determined in accordance with applicable law and the attribution of relevant rights. ### X. Third-Party Services To provide complete services, LoyalProxy may use infrastructure, payment, cloud computing, CDN, data analytics, security, and other technical services provided by third parties. Third-party services may have independent terms of service and privacy policies. In the event of major failures of third-party services, we will make reasonable efforts to coordinate, restore, or provide feasible solutions, but liability shall be determined in accordance with applicable law, contractual agreements, and the actual attribution of responsibility. ### XI. Service Availability We will make reasonable efforts to maintain the stability and availability of LoyalProxy services, but internet and proxy network services may be affected by various external factors. The following situations may cause temporary interruption, delay, or unavailability of some services: * Abnormalities in network operators or upstream resources; * Failures of third-party infrastructure; * System maintenance or upgrades; * Network attacks and sudden security incidents; * Changes in policy or regulatory environment; * Natural disasters, wars, major public events, and other circumstances beyond reasonable control; * Other events beyond the scope of reasonable control. Where reasonably practicable, we will take necessary measures to restore the relevant services. ### XII. Limitation of Liability Users shall themselves ensure that their business models, data sources, access targets, and specific behaviors in using LoyalProxy services comply with applicable laws and regulations and that they have obtained the necessary authorization. Liability arising from users' violation of laws and regulations, these Terms, or third-party rights shall be borne in accordance with applicable law and the actual attribution of responsibility. To the maximum extent permitted by applicable law, we lawfully limit corresponding liability for loss of profits, loss of business opportunities, or other indirect losses arising from indirect, incidental, or special causes. Where applicable law permits the setting of a cap on the platform's cumulative liability, and unless otherwise agreed in other written agreements, the relevant liability cap shall in principle not exceed **the fees actually paid by the user for the relevant services within 30 days prior to the event giving rise to the relevant liability**. Nothing in these Terms shall exclude liability that cannot be limited or excluded under applicable law. ### XIII. Service Suspension and Account Termination In the following circumstances, we may take measures such as warnings, restrictions, suspension, or termination of relevant services depending on the severity: * The user violates these Terms or other platform rules; * There is fraud, attack, abuse, or obvious illegal behavior; * There are major security risks in the account or payment behavior; * The user's behavior may cause harm to the platform, network resources, suppliers, or third parties; * Measures must be taken in accordance with requests from courts, regulatory authorities, or other institutions with lawful authority; * Other circumstances where services need to be suspended or terminated in accordance with the law. If it is a general violation and there is no urgent risk, we may, based on the actual circumstances, give the user a reasonable opportunity to rectify. ### XIV. Law Enforcement and Compliance Cloudrise Network Limited conducts business in accordance with applicable law. If we receive valid requests lawfully made by courts, regulatory authorities, or law enforcement agencies with lawful authority, we may provide necessary information or take corresponding measures in accordance with applicable law. For acts suspected of serious illegal crimes or posing major risks to network security, we may lawfully suspend relevant services, retain necessary records, and cooperate with relevant investigations. ### XV. Governing Law and Dispute Resolution Unless otherwise mandatorily provided by applicable law, the conclusion, interpretation, and performance of these Terms shall be governed by **the laws of the Hong Kong Special Administrative Region of the People's Republic of China**. For disputes arising from these Terms or LoyalProxy services, both parties shall first attempt to resolve them through friendly negotiation. If negotiation fails, a lawsuit may be filed in accordance with the law with **the competent court of the Hong Kong Special Administrative Region**. ### XVI. Updates to the Terms We may modify these Terms based on changes in laws and regulations, product adjustments, security requirements, or business development. For adjustments that may have a significant impact on users' rights or obligations, we will provide notice through website announcements, account notifications, emails, or other reasonable means. The updated Terms will apply from the stated effective date. If you continue to use LoyalProxy services after the updated Terms take effect, the relevant use will be governed by the updated Terms, unless otherwise provided by applicable law. ### XVII.
